Anthropic Files Confidentially for IPO at $965B as a Trillion-Dollar Listing Wave Forms

Anthropic confidentially filed for an IPO on June 1 at a $965B valuation and a $47B revenue run rate, getting ahead of OpenAI and joining a 2026 listing wave that one analyst calls "the opening of the floodgates."

Anthropic confidentially filed its IPO prospectus with the Securities and Exchange Commission on June 1, 2026, setting up what could be the largest pure -play AI listing in history. The filing followed a $65 billion Series H that lifted the company's private valuation to roughly $965 billion — ahead of OpenAI's $852 billion — and a revenue run rate that reached approximately $47 billion in May, up from $10 billion in annual revenue a year earlier.

A debut above the trillion-dollar mark is now the base case if markets cooperate. One prominent analyst described the moment as "the opening of the floodgates for the IPO market," and the dotcom comparisons arrived almost immediately.

The 2026 Listing Cohort

Anthropic is not filing alone. Three of the largest private companies in the world are converging on public markets in the same year, and the contrast in how each is priced is the story.

SpaceX is targeting a valuation of at least $1.8 trillion in a June debut that could raise as much as $75 billion — more than twice the largest IPO on record. OpenAI, at $852 billion after a $122 billion round, is reportedly preparing its own confidential filing with Goldman Sachs and Morgan Stanley, with a possible fall listing. By moving first among the AI labs, Anthropic gets to set the comparable against which OpenAI's prospectus will later be read.

The Revenue Reversal

The detail that reframes the cohort is that Anthropic has passed OpenAI on revenue — and reportedly did so while spending materially less to train its frontier models.

Anthropic's revenue is weighted toward enterprise and developer API consumption — Claude embedded in coding tools, customer-facing agents, and back-office automation that grows with usage rather than seat count. OpenAI's is weighted toward consumer subscriptions and a younger advertising motion. The result is a run rate of roughly $47 billion for Anthropic against about $25 billion for OpenAI, which grows at around $2 billion per month.

Notably, at its $965 billion valuation Anthropic trades near 20 times its run rate — the cheapest price-to-sales ratio in the cohort, below OpenAI's roughly 34 times and far below the multiple implied by SpaceX's target against its $18.7 billion in 2025 revenue.

Why It Matters

The confidential filing is the irreversible first step toward a public prospectus, and the prospectus is where the AI industry's most guarded numbers — inference gross margins, multi-year compute commitments, customer concentration, and the true cost of safety research — become audited and public for the first time. That disclosure will do more to settle the "AI bubble" debate than any amount of commentary, because it replaces narrative with numbers. We explore that argument in depth in our analysis of the S-1 that will finally make the bubble debate testable.

The filing also follows a broader pattern of the AI sector moving toward ownership, transparency, and direct competition — the same logic visible in Microsoft's decision to build its way off its dependence on OpenAI and in the SpaceX IPO anchoring the trillion-dollar end of the wave. For builders and enterprise buyers, the practical signal is to treat multi-vendor architecture as leverage against the pricing pressure public shareholders will soon impose on the labs, and to read each prospectus for what it is forced to reveal rather than for what its roadshow wants the market to feel.
